TERMS AND CONDITIONS

1. PRICES

Prices quoted on this rate card reflect standard services and materials provided by Digital Video Development Inc., and are subject to change without notice.

2. WARRANTY

Digital Video Development Inc. makes no warranty, express or implied, including merchantability or fitness for particular use with respect to materials used or services provided to customer.

3. LIMITATION OF LIABILITY

All risk of loss or danger to customer’s materials remains that of the customer. The sole and exclusive remedy, at law or in equity, for liability of any kind of Digital Video Development Inc., including without limitation liability for negligence, and for breach of any warranty, express or implied, including without limitation and warranty of merchantability for fitness, shall be limited to the replacement cost of raw videotape stock. In no event shall Digital Video Development Inc. be liable for any indirect, special, incidental, or consequential damages.

4. PAYMENT

Payment is due Digital Video Development Inc. 30 days from invoice date, unless other terms appear on invoice. In either case, Digital Video Development Inc. has the right to charge interest at a rate of 1.5% per month on the unpaid balance. Customer agrees to pay all cost of collection, including attorney’s fees.

5. LIENS

Digital Video Development Inc. reserves the right to hold all customer materials in its possession to secure payment of any and all balances due to Digital Video Development Inc. from customer.

6. SUBCONTRACTING

Digital Video Development Inc. reserves the right to subcontract all or any of the work or services ordered by the customer.

7. CUSTOMER AUTHORIZATION

Customer authorizes Digital Video Development Inc. to duplicate material furnished by customer and represents that it has the legal right to have said material duplicated and agrees to indemnify and hold harmless Digital Video Development Inc. from any claims, expenses, and attorney’s fees arising as a result of duplication or services provided.
